IVS Group S.A. informa di avere acquistato la quasi totalità della quota di minoranza (30% meno 3 azioni) di Fast Service Italia SpA, di cui già deteneva il 70%. Fast Service Italia è titolare dei contratti per la gestione dei distributori automatici presso la rete delle stazioni ferroviarie italiane (Grandi Stazioni, 100 Stazioni, RFI). Il prezzo dell’operazione, pari a Euro 12,2 milioni, deriva dall’esercizio dell’opzione di vendita (Put) prevista nel contratto di acquisto del 70% sottoscritto nel 2012; il valore di tale opzione era già contabilizzato tra le passività del bilancio consolidato di IVS Group.
IVS Group S.A. è il leader italiano e terzo operatore in Europa nella gestione di distributori automatici e semiautomatici per la somministrazione di bevande calde, fredde e snack (vending). L’attività si svolge principalmente in Italia (86% del fatturato), in Francia, Spagna e Svizzera, con circa 160.000 tra distributori automatici e semiautomatici, una rete di 70 centri logistici e oltre 2.200 dipendenti e collaboratori. Acquisition of minorities of Fast Service Italia SpA
IVS Group S.A. informs that has acquired almost all the outstanding minority (30% less 3 shares) of Fast Service Italia SpA, of which already owned 70%. Fast Service Italia is the company in charge of the contracts related to the vending services in the Italian railways stations network (Grandi Stazioni, 100 Stazioni, RFI). The price of the transaction, equal to Euro 12.2 million, is the result of the exercise of the Put option included in the purchase agreement of 70% signed in 2012; the value of the Put option was already accounted in IVS Group consolidated balance sheet liabilities.
