IVS Group S.A. informa che la controllata spagnola DAV S.L. ha acquisito 100% della società Grup Ibervending S.A., attiva nel settore del vending in Spagna, con un fatturato di circa Euro 23 milioni ed un EBITDA di circa 4,25 milioni. Nel perimetro dell’acquisizione è compresa anche la torrefazione Cafè Vitoria.
L’enterprise value è pari circa a Euro 25,5 milioni; il saldo del prezzo (25%) sarà pagato, in uno con l’aggiustamento della PFN, in due rate nel corso del 2017 e del 2018.
Il Gruppo Ibervending è uno dei principali attori nel settore della distribuzione automatica in Spagna con una rete di 9 filiali, che si aggiungono alle 9 filiali spagnole di IVS, con le quali si integreranno nel corso dell’anno, per servire una grandissima parte del territorio spagnolo.
Con questa acquisizione, che segue di poche settimane quella di Demomatic in Svizzera, IVS diventa il terzo maggiore operatore nella distribuzione automatica in Spagna, un mercato caratterizzato da un’alta frammentazione, come in Italia e Francia, e conferma la propria strategia di crescita in Europa, basata sull’eccellenza delle proprie competenze gestionali e performance economiche.

IVS Group becomes the third largest vending player in Spain
IVS Group S.A. informs that its Spanish controlled company, DAV S.L., has acquired 100% of Grup Ibervending S.A., active in the vending business in Spain, with sales of around Euro 23 million and with an EBITDA of around Euro 4.25 million. The acquisition includes also the coffee roasting business Cafè Vitoria.
The enterprise value of the transaction is equal to Euro 25.5 million; a balance of 25% of the price will be paid in two tranches, during 2017 and 2018, according to the adjustments on the net financial position.
Ibervending group is one of the major Spanish players in the vending sector, with a network of 9 branches, which will be integrated during 2017 with IVS existing Spanish branches (9), thus covering the largest part of the Spanish territory.
With this acquisition, closed just a few weeks after that of Demomatic in Switzerland, IVS becomes the third major player in the vending sector in Spain, a highly fragmented market, likewise in Italy and France, and confirms its European growth strategy, based on the excellence of its operating skills and economic performance.
